Terms of Service

1. What Majir Provides

Majir is a rewards and offers aggregation and discovery service. With your permission, Majir processes reward and promotion-related email inbox data and combines it with partner and affiliate data to surface relevant offers and maintain a unified Rewards Summary.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old,
• Be a resident of the United States, Canada, or Mexico,
• Be capable of forming a binding contract under applicable law,
• Not be barred from using the Service under applicable law.

By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

You are responsible for:

• Providing accurate and complete information during registration,
• Maintaining the confidentiality of your account credentials,
• All activity that occurs under your account,
• Notifying us immediately of any unauthorized access or use of your account.

Majir is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Inbox Connection (Google and Microsoft Mail)

If you connect Gmail or Microsoft Outlook, you authorize Majir to access and process inbox data via provider APIs only to provide the Service.

You understand and acknowledge that:

• Provider terms and platform policies (including Google API Services User Data Policy and Microsoft Graph API terms) apply to your email account,
• Providers may change, restrict, or revoke API access at any time, which may affect Service functionality,
• You may revoke Majir's access at any time through Majir settings or your email provider's security settings,
• Majir's use of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.

5. Offers, Third Parties, and Affiliate Relationships

Majir may display third-party offers and links. Majir may receive affiliate compensation when you click, enroll, or purchase through certain links.

You agree and acknowledge that:

• Offer terms are controlled by the merchant or partner and may change or expire without notice,
• Majir does not guarantee accuracy, availability, pricing, eligibility, redemption success, or merchant performance,
• Any purchase, return, dispute, or refund is solely between you and the merchant,
• Majir is not a party to any transaction between you and third parties.

6. Acceptable Use

You agree not to:

• Attempt to access non-public systems, bypass security measures, scrape data, or reverse engineer the Service,
• Use bots, automation, scripts, or other means to manipulate traffic, attribution, metrics, or partner qualification,
• Interfere with or disrupt the Service, servers, or networks connected to the Service,
• Introduce malware, viruses, or other harmful code,
• Misrepresent your identity or rights to data you provide,
• Use the Service for any unlawful purpose or in violation of these Terms,
• Attempt to access another user's account or data,
• Use the Service from a country other than the United States, Canada, or Mexico.

We reserve the right to suspend or terminate accounts that violate these provisions, without prior notice where necessary to protect the Service, users, or partners.

7. Intellectual Property

Majir and its licensors own all rights, title, and interest in and to the Service, including software, branding, designs, trademarks, and all content not provided by users.

Subject to these Terms, Majir grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended personal, non-commercial purpose. This license does not include the right to:

• Modify, copy, or create derivative works of the Service,
• Sell, license, or distribute the Service or any part thereof,
• Use Majir's trademarks without prior written consent.

8. Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant Majir a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without restriction or obligation to you, unless prohibited by law.

9. Partner and Merchant Terms

If you are a merchant, partner, affiliate network, or platform integrating with or evaluating Majir ("Partner"):

• You will not request or attempt to obtain users' private inbox content from Majir,
• You will use any Majir-provided data only for legitimate partnership operations, compliance, and reporting,
• Majir may require additional written agreements (including data processing agreements) before providing production access or expanded reporting,
• Violation of these provisions may result in immediate termination of partnership access.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAJIR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT,
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE,
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OFFERS OR CONTENT.

YOU USE THE SERVICE AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

A. MAJIR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

B. MAJIR'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (i) ONE HUNDRED DOLLARS ($100), OR (ii) THE AMOUNTS YOU PAID TO MAJIR IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

C. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, MAJIR'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Majir and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service,
• Your violation of these Terms,
• Your violation of any applicable law or regulation,
• Your violation of any third-party rights,
• Any content or data you provide to the Service.

14. Suspension and Termination

a. Termination by You

You may stop using the Service at any time by disconnecting your email accounts and deleting the app. To request deletion of your data, contact us, reach out to us here.

b. Termination by Majir

We may suspend or terminate your access to the Service, with or without notice, if reasonably necessary to:

• Protect users, partners, or the Service,
• Comply with law, regulation, or platform requirements,
• Respond to suspected fraud, abuse, or Terms violations.

c. Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your personal information in accordance with our Privacy Policy and data retention schedule, unless retention is required by law.

Sections 7, 8, 11, 12, 13, 15, 16, and 18 shall survive termination of these Terms.

15. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions, except where local consumer protection law in Canada or Mexico provides otherwise. Nothing in these Terms limits any non-waivable consumer rights you have under the mandatory laws of your country or province of residence.

16. Dispute Resolution, Arbitration, and Class Action Waiver

a. Informal Resolution First

Before initiating any formal dispute resolution, you agree to contact us, reach out to us here, with a written description of the dispute and your requested resolution. We will attempt to resolve the dispute informally within thirty (30) days.

b. Agreement to Arbitrate

Except for disputes excluded below, you and Majir agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, not in court before a judge or jury.

This arbitration agreement is governed by the Federal Arbitration Act ("FAA") and applicable federal arbitration law.

c. Exceptions

Either party may bring:

• Individual claims in small claims court if the claim qualifies and remains in that court,
• Claims seeking injunctive or equitable relief solely to prevent unauthorized use, abuse of the Service, or infringement of intellectual property rights.

d. Arbitration Rules and Venue

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration may be conducted by video conference, telephone, or in person in Travis County, Texas, if required.

e. Class Action Waiver

YOU AND MAJIR AGREE THAT ALL DISPUTES SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

f. Opt-Out Right

You may opt out of this arbitration agreement by contacting us, reach out to us here, within thirty (30) days of first accepting these Terms. Your message must include the subject "Arbitration Opt-Out" along with your name and the email address associated with your account. Opting out will not affect any other provision of these Terms.

g. Time Limit for Claims

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arises, unless a longer period is required by applicable law. Failure to file within this period shall result in permanent waiver of the claim.

h. Severability of Arbitration Provisions

If the class action waiver is found unenforceable as to a particular claim, the arbitration agreement shall not apply to that claim. If any other part of this Section 16 is found unenforceable, the remaining provisions shall remain in full force and effect.

17. Force Majeure

Majir shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, network infrastructure failures, or strikes.

18. General Provisions

a. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Majir regarding the Service and supersede all prior agreements and understandings.

b. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

c. Waiver

The failure of Majir to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Majir.

d. Assignment

You may not assign or transfer these Terms or your rights hereunder without Majir's prior written consent. Majir may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.

e. Notices

We may provide notices to you via email, in-app notification, or by posting to the Service. Notices to Majir must be submitted via our contact form, reach out to us here.

f. Export Compliance

The Service is currently intended for use within the United States, Canada, and Mexico. You agree not to access or use the Service from any location outside these three countries, and not to use the Service in violation of any applicable export control or sanctions laws or regulations.

g. No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except as expressly provided herein.

19. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will revise the Effective Date at the top of this document.

For material changes, we will provide notice through the app or via email at least thirty (30) days before the changes become effective. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service before the changes take effect.
